Attorney at law Martin Franke

Martin Franke, attorney at law – an expert in non-governmental and non-profit organizations (NGOeine Nicht-Regierungs-, also nicht staatliche Organisation, auch NRO abgekürzts/NPOeine ohne Gewinnerzielungsabsicht betriebene - Non-Profit - Organisations)

Martin Franke gained his first experiences with non-profit organizations as a teenager. During his exchange year in the US he got to know a wide variety of charitable organizations. He then started to work for an international non-profit organization where he was involved for more than a decade. Eager for new challenges he decided to focus his activities on advising German, European and International (e.g. American) non-profit organizations which are either based or operative in Germany.

The majority of non-profit organizations in Germany are organized as “registered associations” (eingetragene Vereine, e. V.). However, there are many more legal forms appropriate for pursuing tax privileged purposes, all of which Martin Franke is familiar with.

  • Legal and fiduciary foundations (rechtsfähige und treuhänderische Stiftungen)
  • Limited liability company (GmbH and UG)
  • Legal associations (Genossenschaft, eG)
  • Joint stock company (Aktiengesellschaft, AG)
  • British Limited
  • European company forms, such as the European Private Company (EPC)

Given the large number of possible legal forms, knowledgeable and experienced counsel is essential to support you in making the right choice. Our law firm has both the breadth and depth of experience to assist non-profit organizations from their foundation throughout their continuing years of operation. Our expertise derives from more than 20 years of accompanying non-profit organizations in all their legal needs.

Although we are based in Frankfurt/Germany, our legal services are not limited to the Rhein-Main area. We are successfully representing clients nationwide. Outside of Germany we are cooperating closely with various partners.

Franke & Zdarsky’s scope of legal services regarding charitable organizations range from answering individual questions and providing expert opinions on complex issues to the foundation of non-profit associations or their restructuring in accordance with the German Transformation Act (Umwandlungsgesetz). Our international clients especially value our expertise in facilitating international cooperation between non-profit organizations. Needless to say that we also represent our clients at court, if a legal dispute is inevitable.
